Welcome to Newtools ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website atwww.newtools.io, including any content, functionality, and services offered on or through the site. By accessing or using our website, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Newtools, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

2. Use of Our Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the website in any way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the website, other accounts, or computer systems.
  • Use any automated means to access the website for any purpose without our express written permission.
  • Interfere with or disrupt the integrity or performance of the website.

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

2a. Beta Services

Newtools is currently offered as a beta. Features may change, break, or be removed, and the service is provided on an “as is” and “as available” basis without warranties of any kind. We may impose or adjust usage limits to ensure fair use and protect the service for all users.

2b. AI-Generated Content

Newtools uses third-party AI models to generate responses, research, code, and other outputs. AI output may be inaccurate, incomplete, or out of date, and must not be relied upon as legal, financial, tax, or professional advice. You are responsible for reviewing and verifying any output before relying on or acting on it. You retain ownership of the content you submit; you are responsible for ensuring you have the right to submit it and for your use of any generated output.

2c. Connected Integrations

If you connect a third-party service (such as GitHub, Notion, Linear, Slack, or Stripe), you authorize Newtools to access that service on your behalf using the credentials you provide, solely to deliver the features you request. Your tokens are encrypted at rest, and you may disconnect any integration at any time. Your use of each connected service remains governed by that service’s own terms.

3a. Social Sign-In

You may sign in using a third-party provider such as Google, GitHub, or X (Twitter). When you do, you authorize us to receive basic profile information (such as your name, email, and profile picture) to create and secure your account. We use this only to authenticate you and we never post, message, or take any action on your social account. You can disconnect a provider at any time from your account settings or with the provider directly. Your use of each provider is also subject to that provider's own terms.

4. Content and Listings

Newtools is a curated directory of tools, frameworks, and resources. We strive to provide accurate information but do not guarantee the accuracy, completeness, or usefulness of any listing or content on the site.

  • Submitted Content: By submitting content to Newtools, you grant us a non-exclusive, royalty-free license to use, display, and distribute such content on our platform.
  • Third-Party Tools: Listings on Newtools may link to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party sites.

5. Intellectual Property

All content, features, and functionality of Newtools, including but not limited to text, graphics, logos, and software, are the property of Newtools or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

6. Payments and Subscriptions

Certain features or listings on Newtools may require payment. All payments are processed through third-party payment providers (e.g., Stripe). By making a purchase, you agree to the terms and conditions of the applicable payment provider. Refund policies are outlined at the point of purchase.

7. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the operation of the site or the information, content, or materials included therein. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

8. Limitation of Liability

In no event shall Newtools, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the website or services.

9. Termination

We may terminate or suspend your access to our website immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the website will cease immediately.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the website after any changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

12. AI Assistant & Acceptable Use

Newtools provides an AI assistant ("the Assistant") that generates responses, tool recommendations, comparisons, diagrams, and research using third-party AI models (including Groq, Google, Anthropic, OpenAI, DeepSeek and others). You understand and agree that:

  • AI output may be inaccurate, incomplete, or out of date. It is provided for informational purposes only and is not professional, legal, financial, or investment advice. You are responsible for verifying any output before relying on it.
  • You must not use the Assistant to generate unlawful, harmful, infringing, or abusive content, to attempt to reverse-engineer or overload the service, or to violate the usage policies of the underlying model providers.
  • Your prompts may be processed by third-party model providers to generate responses. Do not submit confidential information, personal data of others, or secrets you do not want processed by those providers.
  • We may apply rate limits and fair-use limits, and may suspend access for abuse or to protect the service.

13. Subscriptions, Billing & Refunds

  • Free plan. Includes a daily message allowance and access to core workspace features. Limits reset daily and may change over time.
  • Pro plans. Paid subscriptions (monthly or annual Pro) unlock higher usage, Deep Research, Decision Timeline, Outcome Tracking, and expanded workspace limits. Prices are shown in USD and exclude any applicable taxes.
  • Billing & renewal. Subscriptions are billed in advance and renew automatically at the end of each period until cancelled. Payments are processed by Stripe; we do not store your card details.
  • Cancellation. You can cancel anytime from your billing page or the Stripe portal. Cancellation takes effect at the end of the current billing period; you keep Pro access until then and are not charged again.
  • Refunds. Except where required by law, payments are non-refundable, including for partial periods or unused messages. If you believe you were charged in error, contact billing@newtools.io and we'll review it in good faith.
  • Price changes. We may change prices or plan features with notice; changes apply to the next renewal. Annual Pro pricing remains locked while the subscription stays active.
